Antigua Commercial Bank is seeking to recruit a qualified and experienced individual for the position of Administrative/Legal Secretary to ensure strong support to the Legal Counsel/Corporate Secretary, assisting in the research of legal issues and relevant matters, the provision of exceptional customer and administrative service and the overall smooth running of the Department’s operation in the best interest and good corporate image of ACB, ensuring compliance with the Bank/Group policies and procedures, including Corporate Governance Best Practices, in accordance with the requirements of the ECCB, the Banking, Companies and Securities Acts, and other statutory obligations, which affect the operations of the Bank/Group .

The duties to be performed include, but are not limited to the following:

  • Assists in researching matters requiring the attention by Legal Counsel/Corporate Secretary and keeps abreast of new developments relating to Corporate Governance/statutory obligations in the local, regional and global arenas to ensure compliance by the Bank/Group.
  • Reviews recoveries related files, identifying issues for the attention of Legal Counsel/ Corporate Secretary, organizing the file for outsource to external Legal personnel.
  • Contributes positively in ensuring compliance with the Bank/Group policies and procedures, requirements of the ECCB, Eastern Caribbean Securities Commission in accordance with the relevant legislation, the Banking Act, the Companies Act and any other legislation, which may from time to time affect the operations of the Bank/Group.
  • Assists with drafting/vetting legal documents before execution.
  • Assists in the review of all legal forms and account mandates and provides necessary recommendations.
  • Liases with external Legal personnel, and the Securities Department as required for the efficient administration of legal matters.
  • Handles all administrative and secretarial functions for the Legal Counsel/Corporate Secretary.
  • Assists in the efficient administration of the Legal/Secretariat Department.
  • Assists in keeping accurate and timely records of all policies and decisions made by the Board and Sub-committees of the Board and ensuring that such polices and decisions are effectively communicated to requisite persons.
  • Assists with the preparation and compilation of agendas, minutes, papers, reports and other documents for Board and Shareholders meetings.
  • Assists with making the necessary arrangements for the conduct of Board and Board Committee meetings and assists in the preparation for AGM and other shareholder meetings.
  • Arranges appointments for meetings for/with Legal Counsel/Corporate Secretary and follows up to ensure proper communication and maintains a record of movement of files in and out of the Department.
  • Attends Board and/or Board Sub-committee meetings as may be assigned from time to time and takes/records the minutes of such meetings.
  • Assists in organising seminars, functions, accommodation, airfare, per diem, registration and all relevant arrangements for a successful business outcome, preparing budgets and monitoring expenses as required.
  • Shares responsibility for general departmental filing and ensures computer back up of all files and/or physically files all correspondence and maintains a register of the movement of files and correspondence in and out of the Department.
  • Manages individual workflow effectively, keeping work station clean and tidy, ensuring adequate stationery necessary for the efficient functioning of the Legal Counsel/Corporate Secretary and the Department at all times, equipment properly maintained, providing reports as required, ensuring that routine operations are efficiently carried out and that the Legal Counsel/Corporate Secretary’s office runs smoothly and efficiently.

To perform the job successfully the individual must have:
  • A minimum of 5 CXC O’Levels including Mathematics and English
  • A Para-Legal certification or a Degree in Law from a recognized University would be preferred
  • Minimum of three (3) years’ experience as a legal clerk in a Law Firm or in a similar position in a related work environment would be an asset
  • Strong written and verbal communication skills
  • Strong research capability
  • Computer literate with advanced proficiency in Microsoft suite
  • Good networking skills
